Terms & Conditions
ARTICLE 1: USER AGREEMENT
FORMULR is a French company (SIRET 982 219 438) providing SaaS services. The agreement governs use of their software, website, mobile application, and APIs.
Users must be adults (18+) and use services professionally. By accessing the Site or purchasing Services, users accept these terms and the privacy policy. FORMULR reserves the right to modify terms with two months' notice via email.
Key provisions:
- Users must be adults (18+)
- CLIENT acts professionally
- FORMULR may modify the contract with 2 months notice
- No objection after notification means acceptance
ARTICLE 2: USE OF SERVICES
2.1 Limited License
FORMULR grants a limited, non-exclusive, non-transferable license for commercial use during the agreement term. The CLIENT is responsible for appropriate use by users.
Prohibitions:
- Unauthorized reproduction or distribution of protected content
- Introduction of malicious code
- Fraudulent or illegal activities
- Use in prohibited jurisdictions
2.2 Access Rights & Obligations
Users must provide accurate and up-to-date information. Account credentials must remain confidential.
Security recommendations:
- Change password every 6 months
- Enable two-factor authentication
- Report unauthorized access immediately
2.3 Free and Beta Accounts
Free trial accounts are provided "as is" without warranty or support. FORMULR may modify or discontinue them without notice.
2.4 Provision of Services
FORMULR imposes limits on storage space and number of users. Alerts are sent at 80% saturation.
Availability:
- 99.5% availability target
- Maintenance notified 15 days in advance
- Operations include security updates and backup restoration
2.5 Code of Conduct
The CLIENT is responsible for all content transmitted. Third-party sites are not under FORMULR's control.
2.6 User Obligations
Clients must:
- Maintain an appropriate privacy policy
- Obtain all necessary consents
- Not subject Services to third-party conditions
ARTICLE 3: SERVICES
FORMULR offers digital products for client onboarding and administrative processes, including online portals and integration APIs.
ARTICLE 4: TERMS OF PAYMENT
4.1 Subscriptions
Prices are displayed excluding taxes. FORMULR reserves the right to adjust rates, applicable at contract renewal.
4.2 Additional Services
- Additional collaborators: decreasing pricing per active seat
- Storage: 5 GB blocks billed monthly
- Response packs: to extend quotas
- Multi-establishment: supplement per SIRET
- Electronic signatures: billed on consumption
- Online payments: applicable commissions
4.3 Recurring Fees
The CLIENT authorizes FORMULR to recursively charge the payment method (card or SEPA direct debit).
4.4 Taxes
Fees are exclusive of taxes. The CLIENT assumes responsibility for all applicable taxes.
4.5 Refund Policy
All fees and payments are final and non-refundable.
4.6 Late Payment
In case of late payment:
- Late interest at 3 times the legal rate
- Fixed indemnity of €40 for collection costs
ARTICLE 5: COMMITMENT AND TERMINATION
5.1 Commitment Duration
The contract applies as long as subscriptions are not cancelled. At contract end, FORMULR returns data in standard format within 10 business days.
5.2 Subscription Duration and Renewal
Subscriptions automatically renew for successive periods, unless notification 3 months before expiration. New rates apply at renewal.
5.3 Service Suspension
FORMULR may suspend access in case of:
- Late payment after 2 reminders
- Account deletion request
- Contract violation after formal notice
- Request from competent authorities
5.4 Termination
Either party may terminate if:
- The other party substantially breaches the contract (30-day cure period)
- The other ceases activities without successor
- Bankruptcy proceedings initiated
In case of FORMULR's fault, the CLIENT receives a pro-rata refund.
5.5 Account Closure
To close an account, send an email to contact@formulr.io with subject "Cancellation".
ARTICLE 6: CONFIDENTIAL INFORMATION
6.1 Confidential Information
Includes FORMULR services, CLIENT data, any exchanged information, and specific contract conditions.
6.2 Confidentiality Obligation
The parties commit to:
- Keep information confidential
- Use it only to execute the contract
- Share only with authorized employees/subcontractors
This commitment persists 5 years after contract end.
ARTICLE 7: LIABILITY AND CUSTOMER FEEDBACK
7.1 User Data
The CLIENT retains ownership of data created via FORMULR, excluding FORMULR intellectual properties.
FORMULR is authorized to:
- Process data in accordance with terms
- Collect and analyze usage data to improve services
7.2 Intellectual Property
Services, API, and Site are exclusive FORMULR property. The CLIENT only obtains limited use rights.
Developments made at CLIENT's request remain FORMULR property.
7.3 Customer Feedback
FORMULR may use CLIENT comments and feedback without restriction. The CLIENT authorizes FORMULR to use their name and logo for promotional purposes.
ARTICLE 8: SECURITY
8.1 Privacy Policy
The parties comply with GDPR (EU 2016/679). Personal data is processed in accordance with FORMULR's privacy policy.
A subcontracting agreement governs data collection and processing.
8.2 Security
FORMULR implements technical and organizational measures to protect information against unauthorized use, disclosure, or modification.
ARTICLE 9: FORMULR LIABILITY
FORMULR commits to a general obligation of means. Liability is limited to direct damages resulting from serious fault.
FORMULR is not responsible for:
- Malfunctions from misuse
- Internet network unavailability
- Third-party API malfunctions
- Force majeure or external incidents
- Unauthorized third-party access
- Indirect or unforeseeable damages
Liability limitation: Compensation cannot exceed 100% of the net amounts paid in the previous year.
Claim deadline: Maximum 1 year after the breach.
The CLIENT indemnifies FORMULR for any claim arising from their use of Services or contract violation.
9.1 Maintenance
FORMULR performs necessary operations to ensure availability and proper functioning. Scheduled maintenance is announced reasonably in advance.
9.2 Email Support
Email support is available Monday to Friday, 9am-6pm, excluding French holidays. Contact: contact@formulr.io
ARTICLE 10: ACCEPTABLE USE POLICY
Users must not:
- Post abusive, defamatory, or threatening messages
- Transmit spam or unsolicited messages
- Impersonate another person
- Access unauthorized parts
- Upload viruses or harmful code
- Bypass access restrictions
- Test vulnerabilities without authorization
- Modify or access other users' accounts without authorization
- Collect unauthorized personal data
- Violate applicable laws
- Reproduce or commercially exploit Services
- Create competing products
FORMULR may suspend or terminate access in case of violation.
ARTICLE 11: SERVICE-SPECIFIC CONDITIONS
11.1 Service Description
FORMULR allows requesting, collecting, displaying, validating, and sharing documents electronically.
Authentication: Via a FORMULR account or email invitation.
Audit trails: Complete progress tracking including document identifiers, email addresses, IP addresses, dates, times, and event locations.
11.2 FORMULR API
Description: Enables integration into CLIENT applications or workflows.
Authentication: Identity confirmation by email or other means approved by FORMULR.
API Keys: Unique and confidential. The CLIENT is responsible for all activity performed with their key.
Properties: Only properties approved by FORMULR may use the Service.
Restrictions: The CLIENT may not create a similar API or use APIs for independent purposes.
11.3 Third-Party Application Integrations
Connects FORMULR with third-party services (Google, Box, Hubspot, Microsoft, Oracle, Slack, etc.).
The CLIENT is responsible for use and possessing necessary rights.
FORMULR disclaims all responsibility for third-party services and their interaction with FORMULR Services.
11.4 Third-Party Payment Restrictions
External payment system integration must use official FORMULR modules. Unauthorized integrations result in immediate Service suspension.
ARTICLE 12: GENERAL PROVISIONS
12.1 Disputes and Applicable Law
For professional clients: disputes fall under the Nice Commercial Court jurisdiction.
For non-professionals:
- Right to consumer mediation after 2 months of unanswered complaint

12.2 Languages and Translations
Translations are informational. In case of discrepancy, the French version prevails.

12.4 Non-Competition
The CLIENT may not engage in competing activity during contract execution, including internal development of similar systems.
After termination, prohibition in Europe and United States for 6 months.
12.5 Subcontracting
FORMULR may engage subcontractors. FORMULR remains fully responsible for their acts and omissions.
12.6 Legal Warranty
For non-professional clients (Consumer Code Article L. 221-3):
- 2-year period to exercise legal conformity warranty
- Right to conformity at no additional cost
- Possibility of price reduction or termination with full refund
- Legal warranty for hidden defects for 2 years (Civil Code Articles 1641-1649)
ARTICLE 13: RIGHT OF WITHDRAWAL
Non-professional clients (fewer than 5 employees, per Article L. 221-3) have a 14-day withdrawal right.
Exception: This right does not apply to digital content supply once the contract has begun with CLIENT's consent.
